Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of Washventory (the "Service"), provided by Washventory ("Washventory," "we," "us," or "our"). By creating an account, subscribing to, or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and the organization you represent ("Customer," "you"). If you do not agree, do not use the Service.
2. Description of Service
Washventory is a software platform that helps commercial laundry equipment distributors manage their installed equipment base, service work orders, dispatch, and warranty and replacement intelligence. Washventory is not a point-of-sale or payment processing system, a generic field-service platform for unrelated industries, a full dealer-management or ERP system, or an accounting product, and it should not be relied upon as a substitute for those systems.
3. Accounts and Organizations
You must provide accurate, current information when creating an account. You are responsible for maintaining the confidentiality of login credentials and for all activity that occurs under your organization’s account. An organization administrator is responsible for managing user access, roles, and permissions within that organization’s account. You agree to notify us promptly at support@washventory.com of any unauthorized access or use.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulation
- Attempt to gain unauthorized access to any part of the Service or its underlying systems
- Reverse-engineer, decompile, or attempt to extract source code from the Service, except as permitted by law
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to store or transmit data that infringes the rights of any third party
- Resell, sublicense, or provide access to the Service to unauthorized third parties
We reserve the right to investigate and take appropriate action, including suspension or termination, against accounts that violate this section.
5. Customer Data and Ownership
As between you and us, you retain all right, title, and interest in the customer, equipment, service, and business data your organization enters or generates within the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and support the Service. We do not claim ownership of Customer Data and do not use it for purposes outside providing the Service except as described in our Privacy Policy. You are responsible for the accuracy, legality, and appropriateness of the data you input, including any customer or third-party information.
6. Subscription, Billing, and Refunds
The Service is offered on a subscription basis at the pricing tier selected at signup. Fees are billed monthly in advance and are based on your selected plan and technician count. Subscriptions renew automatically each billing period unless canceled prior to renewal. Fees are non-refundable except as required by law or as otherwise expressly stated at the time of purchase. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you will retain access through that period.
7. Plan Limits and Changes
Each subscription plan includes limits on office users and technician seats as described on our Pricing page. Usage beyond your plan’s limits may require an upgrade to a higher tier or the purchase of additional seats. You may upgrade or downgrade your plan at any time, subject to the terms in effect for the new plan; changes take effect according to our then-current billing practices.
8. Suspension and Termination
We may suspend or terminate access to the Service, with or without notice, if you breach these Terms, fail to pay applicable fees, or if we reasonably believe your use of the Service poses a security or legal risk to us or other customers. You may terminate your account at any time by canceling your subscription. Upon termination, your right to access the Service ends, and Customer Data will be handled in accordance with our Privacy Policy’s retention terms.
9. Warranties and Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that all data (including warranty flags or replacement recommendations) will be fully accurate. Outputs such as warranty status suggestions and replacement-candidate flags are decision-support tools, not authoritative determinations, and should be independently verified before being relied upon for warranty claims, sales, or compliance decisions.
10. Limitation of Liability
To the maximum extent permitted by law, in no event will Washventory or its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability arising out of or related to these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Washventory and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including claims arising from Customer Data you input into the Service.
12. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict-of-laws principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.
13. Changes to These Terms
We may modify these Terms from time to time. Material changes will be communicated through the Service or by email prior to taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
